1. General Agreement

By purchasing property from East to West Land Co, LLC, the Buyer enters into a legally binding agreement governed by the laws of the State of Alabama. This document incorporates the terms of the Land Sale Contract, Promissory Note, and Agreement for the Sale and Purchase of Real Estate. Neither party may rely on oral statements or representations not contained in these written agreements.

2. Payment Options

East to West Land Co, LLC offers two purchase methods:

A. Cash Sale — The transaction is not contingent on financing. Full payment is due at closing, along with a one-time document processing fee due at signing.

B. Owner Financing (Terms) — The Seller finances a portion of the purchase price through a Promissory Note bearing a specified interest rate, payable in monthly installments over an agreed term. The first payment is due approximately 30 days from the contract date. Payments are made via check, credit card, or through the provided auto-payment link.

3. Down Payment & Fees

A down payment is required and must be deposited with East to West Land Co, LLC at the time of agreement.
A one-time document processing/note setup fee is due at signing.
Receipt of both the down payment and document preparation fee will be acknowledged in writing.

4. Monthly Payments (Terms Buyers)

Monthly payments consist of principal and interest, a Note Servicing Fee, and estimated property taxes.
Payments are due every 30 days from the contract date, invoiced via email with a credit card payment link.
A grace period of 5 days is allowed. Payments not received within the grace period will incur a late penalty.
There are no prepayment penalties. Buyers may pay ahead at any time; only interest accrued to the date of payoff will be assessed. Paying even a small additional amount each month is strongly encouraged to reduce interest costs.

5. Property Taxes

The Seller will pay property taxes each year on behalf of the Buyer.
The Buyer is responsible for reimbursing the Seller for all taxes annually (or monthly — notify the Seller of your preference).
Failure to reimburse taxes within 60 days of the due date will void the contract and make the remaining balance due within 30 days.

6. Title & Deed

The Seller will hold the Title Warranty Deed until the property is fully paid off.
The Seller warrants the property title will remain free from any loans, liens, or encumbrances throughout the payment period.
Upon final payment, the Seller will send the Buyer a Warranty Deed for review and approval, then record it in the Buyer’s name within 30 days of payoff.
The Buyer may elect to conduct their own title search at their own expense. A title report is not automatically provided at closing.

7. Property Condition

The Buyer represents that they have personally inspected the property and accept it in its current “as-is” condition.
Terms Buyers are covered by a 30-Day Satisfaction Guarantee from the date of down payment — an additional inspection period is included.
Cash Buyers accept the property as-is with no satisfaction guarantee.
The Seller is not aware of any wetlands, flood plains, hazardous substances, or underground storage tanks on the property.

8. Default

The following constitute events of default:

Failure to make any payment when due
Failure to comply with any material term of the contract
Default on any other loan that may materially affect the property
Any false statement made to the Seller in connection with the transaction

Upon default:

The Seller will notify the Buyer via email.
The Buyer has 30 days to bring payments current.
If the account is 35 or more days past due, the Seller reserves the right to take back possession of the property without court proceedings.
If the default is not cured, the property will be considered foreclosed and the Buyer forfeits all payments made.
Upon default, the interest rate may increase by 5 percentage points above the original rate.

9. Timber & Land Use

The Seller reserves the right to limit timber removal from the property to only the area needed for placing a dwelling or structure — until the total purchase price (including interest) is paid in full.
The Buyer must not dump environmentally hazardous waste on the property.

10. Closing Costs

No closing costs to Buyer when closing directly with East to West Land Co, LLC.

11. Assignment

The Buyer may not assign this agreement without the written consent of the Seller.
The Seller may assign this agreement. It shall be binding on the heirs and assigns of all parties.
In the event of any sale or transfer of the property by the Buyer, the entire unpaid principal balance and accrued interest become immediately due and payable.

12. Legal Proceedings

In any legal action arising from this contract, the prevailing party is entitled to recover all costs and reasonable attorney’s fees from the non-prevailing party.
The Buyer agrees to pay all costs, including attorney’s fees, incurred in the collection of any unpaid amounts.

13. Eminent Domain

If the property is condemned by eminent domain after the effective date of the contract, the Seller and Buyer shall mutually agree to continue or cancel the transaction. If no agreement is reached, the Buyer is entitled to cancel and receive a refund of the down payment.

14. Notices

All notices between parties must be in writing and are effective when mailed, hand-delivered, or transmitted by facsimile. The Buyer must maintain a valid email address on file at all times.

15. Governing Law

This agreement is governed by the laws of the State of Alabama. Time is of the essence in the performance of this agreement.
